Introduction

The following Terms and Conditions control your membership in the program. You agree that you have read and understand this Agreement ("Agreement") and that your membership in the program (the "Program") shall be subject to the following Terms and Conditions between you (the "Member") and . Terms of Participation

Member must be 18 years of age or older to participate. Members must provide us with accurate, complete and updated registration information, including an accurate name, mailing address and email address.

To the full extent allowed by applicable law, at our sole discretion and for any or no reason may refuse to accept applications for membership.

Members may not (i) activate or use more than one Member account; (ii) select or use a email Address of another person; (iii) use a name subject to rights of another person without authorization from that person; (iv) use a false or misleading name, mailing address, or email address to activate or use a Member account.

By signing up for the program, Member is opting-in to receive other special offer emails from us. If you do not wish to receive these emails, you may cancel your account anytime .

Member may NOT use Trakn to display any Ad(s), Link(s), Image(s), or any Web site that contains any pornographic, hate-related, obscene, defamatory, violent, or illegal content.

Member agrees not to use any automated, deceptive, fraudulent or other invalid trafic, including but not limited to through repeated manual clicks, the use of robots or other automated query tools and/or computer generated search requests, and/or the unauthorized use of other search engine optimization services and/or software.

We have the right, at our sole discretion, to suspend or cancel, at any time and for any or no reason, a Member's membership in and access to the Website.

Member agrees not to abuse his or her membership privileges by acting in a manner inconsistent with this Agreement. Member agrees not to attempt to earn through other than legitimate authorized channels. Member agrees not to participate in any fraudulent behavior of any kind.

We shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules. Any decision we make relating to the cancellation of membership shall be final and binding. We reserve the right to redirect traffic to cancelled accounts and unpaid accounts after 30 days.

Spamming is strictly prohibited. Any spamming done to advertise will result in immediate termination of your account. Incidents will be dealt with on a case by case basis.

Member shall comply with all laws, rules, and regulations that are applicable to Member. Member acknowledges that Member may only participate in the program if and to the extent that such participation is permitted by such laws, rules, and regulations.

If member objects to any of the Terms and Conditions of this Agreement, or any subsequent modifications to this agreement, or becomes dissatisfied with the Program, Member's only recourse is to immediately discontinue participation in the program and properly terminate his or her membership.

Disclaimers

MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT MEMBER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED BY LAW, CUSTOM OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE MAKE NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE PROGRAM OR ANY TRANSACTIONS ENTERED INTO THROUGH THE PROGRAM.

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER Trakn NOR ANY OF ITS MEMBERS, SUBSIDIARIES, PUBLISHERS, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE PROGRAM OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF USER'S TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Trakn Rights. You acknowledge that Trakn owns all right, title and interest, including without limitation all Intellectual Property Rights (as defined below), in and to the Program, and that You will not acquire any right, title, or interest in or to the Program except as expressly set forth in this Agreement. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any Trakn services, software, or documentation, or create or attempt to create a substitute or similar service or product through use of or access to the Program or proprietary information related thereto. "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, semiconductor chip protection law, moral rights law, trade secret law, trademark law, unfair competition law, publicity rights law, privacy rights law, and any and all other proprietary rights, as well as, any and all applications, registrations, renewals, extensions, restorations and re-instatements thereof, now or hereafter in force and effect worldwide.

No Guarantee. Trakn makes no guarantee regarding the level of impressions/hits/traffic. Trakn does not guarantee the Program will be operable at all times or during any down time (i) caused by outages to any public Internet backbones, networks or servers, (ii) caused by any failures of Your equipment, systems or local access services, (iii) for previously scheduled maintenance or (iv) relating to events beyond Trakn's (or its wholly owned subsidiaries') control such as strikes, riots, insurrection, fires, floods, explosions, war, terrorism, governmental action, labor conditions, earthquakes, natural disasters, or interruptions in Internet services to an area where Trakn (or its wholly owned subsidiaries) or Your servers are located or co-located.

Your Obligation to Indemnify. You agree to indemnify, defend and hold Trakn, its agents, affiliates, subsidiaries, directors, officers, employees, and applicable third parties (e.g. relevant advertisers, syndication partners, licensors, licensees, consultants and contractors) (collectively "Indemnified Person(s)") harmless from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts, and reasonable legal fees (in Quebec, judicial and extra-judicial costs and fees; elsewhere in Canada, legal fees on a solicitor and its own client basis)), brought against any Indemnified Person(s), arising out of, related to or which may arise from Your use of the Program, the Property(ies), and/or Your breach of any term of this Agreement.

To prevent unauthorized access, maintain data accuracy, and ensure the correct use of information, we use appropriate industry standard procedures to safeguard the confidentiality of Member's personal information, such as firewall, encryption, token authentication, application proxies, monitoring technology, and adaptive analysis of the Website's traffic to track abuse of the Program, Website and its data. However, no data transmitted over the Internet can be 100% secure. As a result, while we strive to protect its Members personal information, we cannot guarantee the security of any information that Members transmit to or from the participating advertisers/merchants and Member does so at his/her own risk.

This Agreement constitutes the entire Agreement between Member and the program in connection with general membership in the program and supersedes all prior agreements between the parties regarding the subject matter contained herein. If any provision of this AGREEMENT is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this AGREEMENT will remain in force. No failure of either party to exercise or enforce any of its rights under this AGREEMENT will act as a waiver of such rights.

PRIVACY POLICY

Trakn.com is committed to protecting your privacy.

Trakn.com will never willfully disclose personally identifiable information about its customers to any third party without first receiving that customer's permission, unless necessary for legal reasons.

What information does Trakn.com Collect?
You don't need to provide any information in order to browse web sites in our network.

If you choose to subscribe to any of our services (become a member), you may be asked to provide the following information: name, company name, email address, credit card type, credit card number, credit card expiration date, name on card, billing address, city, state, country, zip code, phone number, and phone number and/or skype.

We will NOT disclose, sell or exchange any member's personally identifiable information to or with anyone, without your approval. The only circumstances under which personally identifiable information about Trakn.com members will be shared in a manner inconsistent to that stated above is if we believe disclosure is reasonably necessary to:

You will have the option to confirm or decline any offer sent to you by any of our members through our network by clicking on either an authorization link or a remove link.

Once you confirm any such offer the privacy policies and standards of our members will vary and may be significantly different from the policies posted here and in use by Trakn.com.

How does Trakn.com use the information collected?
We will aggregate member and visitor information and perform statistical analyses of the collective characteristics and behavior of our members and visitors, to measure overall demographics and interests regarding specific areas of our network and to analyze how and where to use our resources. We also use the aggregate data collected to inform our sponsors and members as to the number of people who have seen and "clicked" on their advertisement, requested further information, or have responded to any offer provided by our members via our network. In addition, Trakn.com may compile and disclose aggregate information about its visitors and members for promotional or other purposes. For example, we might want to disclose that a certain percentage of our members are located within a particular geographic area or fall within a particular age range.

Does Trakn.com use cookies?
Trakn.com uses both session cookies and persistent cookies (for an explanation of cookies, please see http://www.epic.org/privacy/internet/cookies/). Cookies help us determine how long visitors view particular content, which particular content (e.g., advertising) visitors view, which content or sites visitors link to, and which of our services members and visitors use.

As a registered Trakn.com member, you have easy access to your information, along with the ability to change it. And, you can always choose to unsubscribe from any services you've subscribed to at any of our sites by deleting your account.

I am not a member. I am receiving emails from your members. How can I unsubscribe from email lists at Trakn.com?
We teach our members to be spam compliant, there should be an opt out link at the bottom of EVERY email you recieve, if you feel you are being spammed please forward a copy of the email(s) including headers to spam [ at ] mkanikalladvantage.com

How does Trakn.com protect the privacy of children?
The Trakn.com services are not intended for use by anyone under the age of 18. However, as with any Web site, children can access all parts of the site which are accessible to the general public. See the "What information does Trakn.com collect?" section of this document for an explanation of what information is publicly accessible through the Trakn.com sites.

Notification of Changes
If Trakn.com intends to use your personally identifiable information in a manner different from that stated at the time of collection, we will notify you via email.
